Terms of Use (EULA) — Soundie

These Terms of Use ("Terms") are a legally binding agreement between you and Soundie (operated by an individual developer) ("we", "us") governing your use of the Soundie mobile application (the "App"). By downloading or using the App you agree to these Terms. If you do not agree, do not use the App.

1. License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on Apple-branded devices that you own or control, for personal, non-commercial purposes, in accordance with these Terms and Apple's App Store Terms. Apple's standard Licensed Application End User License Agreement applies to the extent not covered here.

2. Intellectual Property

The App, including all audio content, sound recordings, design, graphics, code, and trademarks, is owned by us or our licensors and is protected by copyright and other laws. You may not copy, extract, redistribute, resell, publicly perform, broadcast, or create derivative works from the App's audio content or any other part of the App. Sounds are licensed for personal listening within the App only.

3. Subscriptions and Payments

• Certain features ("Soundie PRO") require a paid auto-renewing subscription (monthly or yearly). Prices are shown in the App before purchase.
• Payment is charged to your Apple Account at confirmation of purchase. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your device's App Store settings.
• Where offered, free trials convert to a paid subscription unless cancelled before the trial ends. Unused trial portions are forfeited upon purchase.
• All purchases are processed by Apple. Refunds are governed by Apple's policies and must be requested from Apple; we do not process payments or refunds directly.
• We may change subscription prices or features prospectively; changes take effect at the next renewal, subject to notice as required by Apple and applicable law.

4. Health, Safety and Wellness Disclaimer

The App is provided for relaxation and entertainment purposes only. It is not a medical device and provides no medical advice, diagnosis, or treatment.

• The App (including "binaural beats", "brainwave" or frequency-named sounds and any sleep-, focus-, or meditation-related labels) makes no clinical or therapeutic claims. Any category names or descriptions are descriptive of sound character, not of guaranteed physiological effects.
• Do not use the App while driving, operating machinery, or in any situation where reduced attention or masked environmental sound could be dangerous.
• Prolonged listening at high volume may damage hearing. Choose moderate volumes, especially with headphones and for overnight use.
• If you have epilepsy, a seizure disorder, tinnitus, a heart condition, wear a pacemaker or hearing implant, are pregnant, or have any medical condition that could be affected by audio stimulation, consult a physician before using frequency-based sounds.
• The wake-up alarm is a convenience feature, not a safety-critical alarm. Its reliability depends on the App remaining active, device settings, battery, and operating-system behavior outside our control. Do not rely on the App as your sole alarm for critical obligations (flights, medication, work, childcare, etc.). We accept no liability for missed alarms.
• Sleep timer, alarm, and playback behavior may be interrupted by the operating system, phone calls, low battery, Focus modes, or device settings.

5. Acceptable Use

You agree not to: (a) reverse engineer, decompile, or extract source code or audio assets except as permitted by mandatory law; (b) use the App in violation of applicable law; (c) circumvent, or attempt to circumvent, subscription controls; (d) use the App's content in any public, commercial, or broadcast context.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AUDIO PLAYBACK WILL CONTINUE IN ALL DEVICE STATES. NO ORAL OR WRITTEN INFORMATION GIVEN BY US CREATES ANY WARRANTY.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, SLEEP, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP (INCLUDING MISSED ALARMS), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US THROUGH THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM AND (ii) FIFTY (50) US DOLLARS / EUROS EQUIVALENT.

Some jurisdictions do not allow certain exclusions or limitations; in such jurisdictions our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded by law (including, where applicable, liability for gross negligence, willful misconduct, or personal injury caused by negligence).

8. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or misuse of the App, to the extent permitted by applicable law.

9. Changes to the App and Terms

We may modify, suspend, or discontinue the App or any feature at any time. We may update these Terms; material changes will be indicated by updating the date above and, where appropriate, in-app notice. Continued use after changes constitutes acceptance.

10. Termination

These Terms remain in effect until terminated. We may terminate or suspend your license if you breach these Terms. Upon termination you must cease using the App. Sections 2, 4, 6, 7, 8, and 11 survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules, and subject to any mandatory consumer-protection law of your country of residence. The courts of İstanbul shall have jurisdiction, except where mandatory law grants you the right to sue in your country of residence. EU/UK consumers retain all mandatory statutory rights.

12. Apple-Specific Terms

You acknowledge that: these Terms are between you and us, not Apple; Apple has no obligation to provide maintenance or support; in case of the App's failure to conform to a warranty, you may notify Apple for a refund of the purchase price, and Apple has no other warranty obligation; Apple is not responsible for any claims relating to the App (including product liability, legal compliance, and IP claims); Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in an embargoed country and are not on any restricted-parties list.
